Client as set out on the order form\/Proposal document and includes these Terms and Conditions and any Scope of Works.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-8d8a8e8 e-con-full e-grid e-con e-child\" data-id=\"8d8a8e8\" data-element_type=\"container\" data-e-type=\"container\" manuals.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-2214512 e-con-full e-grid e-con e-child\" data-id=\"2214512\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>Means a notice in writing or verbally given by the Supplier to the Client advising that the goods and services the subject of the Contract have been provided in full by the Supplier.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-25ee04b e-con-full e-grid e-con e-child\" data-id=\"25ee04b\" data-element_type=\"container\" data-e-type=\"container\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>The Supplier\u2019s Scope of Works in respect of the services signed by the parties for identification purposes.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-9c89795 e-con-full e-grid e-con e-child\" data-id=\"9c89795\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-18c04ad data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>Means Fresh Digital (Thailand) Co., Ltd.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-ff05929 e-con-full e-grid e-con e-child\" data-id=\"ff05929\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element e-con-full e-flex e-con e-child\" data-id=\"1071b84\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>This contract affects the sale of goods and the provision of services, including the design and production of websites, by the supplier to the client as specified in the contract. Additionally, it includes non-excludable conditions and warranties as implied by law, which constitute the agreement between both parties to the contract.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-c905d10 e-con-full e-grid e-con e-child\" data-id=\"c905d10\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-1fe0990 clause-n elementor-widget elementor-widget-heading\" data-id=\"1fe0990\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<p class=\"elementor-heading-title elementor-size-default\">3<\/p>\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-b7a0c2b e-con-full e-flex e-con e-child\" data-id=\"b7a0c2b\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-8c854bd elementor-widget elementor-widget-text-editor\" data-id=\"8c854bd\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>Unless otherwise stipulated in the Contract, the Client must pay all monies owing as per the contract. (a) The Supplier may cancel or suspend the performance of its obligations under the Contract (without any liability to the Client) if at any time the Client defaults in respect of any of its payment obligations.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-73b1cfa e-con-full e-grid e-con e-child\" data-id=\"73b1cfa\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-05886be clause-n elementor-widget elementor-widget-heading\" data-id=\"05886be\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<p class=\"elementor-heading-title elementor-size-default\">4<\/p>\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-ccb04f9 e-con-full e-flex e-con e-child\" data-id=\"ccb04f9\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-f774c05 elementor-widget elementor-widget-text-editor\" data-id=\"f774c05\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>If the client defaults in making any payment to the Supplier in accordance with the Contract, the Client agrees to:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-904f311 elementor-widget elementor-widget-text-editor\" data-id=\"904f311\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul style=\"padding-left: 1.4rem;\"><li>(a) Pay interest on the amount outstanding to the Supplier at the rate of 15% per annum from the date on which such default occurred until the balance outstanding is paid in full; and<\/li><li>(b) On demand, reimburse the Supplier all reasonable debt collection fees and commissions disbursements and legal costs (on an indemnity basis) incurred or payable by the Supplier as a direct or indirect consequence of such default.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-e48e1ba e-con-full e-grid e-con e-child\" data-id=\"e48e1ba\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-4144218 clause-n elementor-widget elementor-widget-heading\" data-id=\"4144218\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<p class=\"elementor-heading-title elementor-size-default\">5<\/p>\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-17081f8 e-con-full e-flex e-con e-child\" data-id=\"17081f8\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-ffa5c75 elementor-widget elementor-widget-text-editor\" data-id=\"ffa5c75\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>If the Client orders goods or services in its capacity as trustee of a trust. The Client warrants that it has full power and authority to accept goods and\/or services under the Contract for the benefit of the trust. Warrants that its right of indemnity against the trust property is unrestricted and will not be adversely affected by the Contract, agrees that it will be bound by the Contract both personally and in its capacity as trustee of the trust acknowledges that its liability for indebtedness incurred while a trustee will apply even if it ceases to be trustee of the trust for any reason: and acknowledges that its liability will not be limited to the assets of the trust. In the event of any damage occurring, the supplier shall not be held liable in any way.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-fc402ad e-con-full e-grid e-con e-child\" data-id=\"fc402ad\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-ba149b5 clause-n elementor-widget elementor-widget-heading\" data-id=\"ba149b5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<p class=\"elementor-heading-title elementor-size-default\">6<\/p>\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-dfc73bc e-con-full e-flex e-con e-child\" data-id=\"dfc73bc\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-d793e99 elementor-widget elementor-widget-text-editor\" data-id=\"d793e99\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>The Client acknowledges and agrees that any warranties and conditions (whether statutory, express, or implied) in relation to any goods or services supplied to it by the Supplier are expressly excluded, except for any warranties and conditions set out in the Contract or which cannot by law be excluded restricted or modified.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-672e598 e-con-full e-grid e-con e-child\" data-id=\"672e598\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-d0a793f clause-n elementor-widget elementor-widget-heading\" data-id=\"d0a793f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<p class=\"elementor-heading-title elementor-size-default\">7<\/p>\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-242ba88 e-con-full e-flex e-con e-child\" data-id=\"242ba88\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-7b3f9aa elementor-widget elementor-widget-text-editor\" data-id=\"7b3f9aa\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>In the case of any breach by the Supplier of the terms of the Contract or any non-excludable warranty or condition, the Supplier will not be liable for any consequential loss and the Supplier\u2019s liability will be limited in all circumstances to:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7f41e4b elementor-widget elementor-widget-text-editor\" data-id=\"7f41e4b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul style=\"padding-left: 1.4rem;\">\n \t<li>(a) In the case of goods, the repair or replacement of the goods (at the option of the Supplier); Failure to comply will result in the monthly fee being applied for the contracted term of 180 days.<\/li><li>(f) The client does not engage in any other Digital Marketing practices with a third party without written consent from the supplier.<\/li><li>(g) The client agrees to respond in a timely manner generally within 5 working days.<\/li><li>(h) Fresh Digital (Thailand) Co., Ltd. cannot be held responsible for any loss of rankings or negative movement as a direct result of a Google algorithmic update<\/li><li>(i) For all SEO, Hosting, Web Design and or Web Refresh clients, the client\u2019s website files (Where possible) will be backed up upon receiving the initial payment and kept on file for the duration of the contract plus 30 days after cancellation from any client as stated above.<\/li><li>(j) In the case of cancellation of all works with Fresh Digital (Thailand) Co., Ltd., we the supplier, cannot be held responsible for lapses in Hosting and or expired back-up files of any kind. The supplier will provide all login details for all the client\u2019s associated domains upon cancellation. The supplier shall also not be liable if unable to provide goods and services due to events beyond their control, including but not limited to natural disasters, government actions, strikes, protests, wars, or other similar events, as well as fires, explosions, power outages, equipment malfunctions, or work stoppages, including factory closures during times of protests, preventing the supplier from sourcing necessary items or labor.
